1.- PURPOSE

This document establishes the purchase conditions that regulate the supply of all types of goods, equipment, materials and/or the provision of all types of services to ARRANO TALLERES ELECTROMECÁNICOS S.L.

With the acceptance of the order or failing that the delivery of the products or service, each and every one of the conditions described in this document is deemed accepted.

2.- PRICES AND TERMS OF PAYMENT

The prices set out in the Order will be fixed and definitive. The invoice will meet all the legally established requirements.

The payment method will be direct debit or bank transfer within 60 days of the invoice date.

3.- DELIVERY TERMS

The delivery terms will be established in the order.

4.- DELIVERIES

All the products delivered will be accompanied by their corresponding delivery note. In the case of services the work order.

The products will be delivered in the amounts and formats specified in the order.

When dealing with chemical products, the safety and specification sheets will be included.

Unless specified otherwise, the deliveries will be made at ARRANO TALLERES ELECTROMECÁNICOS and the delivery costs will be covered by the supplier.

5.- QUALITY

The supplier should ideally have a quality assurance system that makes it possible for the product/service contracted to meet the specifications received from ARRANO. The system must be duly documented, drawn up according to the guidelines of a standard (ISO 9000 or similar). The supplier must communicate any incident or deviation detected to ARRANO.

Any quality incident detected by ARRANO or their customers will be communicated to the supplier in writing. The supplier must issue an immediate response to the non-conformity report or equivalent documents sent by ARRANO, and must inform ARRANO in a timely manner of the root causes of the incident and the corrective measures defined and executed.

ARRANO will assess the performance of their suppliers every year by analysing the orders served, the incidents and the responses to non-conformities and will or will not reapprove the supplier based on the result.

6.- ENVIRONMENT

The supplier will comply with all aspects of the current environmental regulations regarding the generation and management of waste, effluents, emissions into the atmosphere and noise, and the prevention of soil pollution.

The supplier will be up to date with any type of permit or authorisation that may be needed to conduct their work.

Suppliers of chemical products must send the safety sheets of the products supplied.

In the case of suppliers who access our installations to carry out work, they will have the suitable means to remove all waste that may be generated as a consequence of their activity on the premises of ARRANO.

7.- GUARANTEE

The supplier must provide the guarantee established by law for its products and services.

8.- PEOPLE

The supplier, that declares they are up to date with their tax and social security obligations, assumes the obligation to comply with labour regulations.

All work equipment will be supplied with the CE marking, declaration of conformity and instructions for use in Spanish.

The supplier must fully comply with the health and occupational safety standards, with regard to employees.

The supplier will inform the workers in writing of the specific risks that their work entails and the preventive measures that must be adopted to avoid them. If the work to be performed is at ARRANO, they will be responsible for providing them with the specific risks, evacuation map, actions, etc. sent by ARRANO.

Both parties undertake to comply with Organic Law 3/2018 of 5 December, on personal data protection and guarantee of digital rights, and safeguard and maintain the information as established by both.

9.-CONFIDENTIALITY

All technical, economic or commercial information related to ARRANO TALLERES ELECTROMECÁNICOS, their customers or their products that the Supplier may learn as a consequence of fulfilling the order will be considered confidential information. The supplier is obliged to not disclose this confidential information to third parties and not use it, directly or indirectly, for purposes other than those stipulated in the Contract.

10.- LEGISLATION AND JURISDICTION

ARRANO TALLERES ELECTROMECÁNICOS and the Supplier, expressly waiving their own jurisdiction, are expressly and irrevocably subject to the Courts and Tribunals of the city of San Sebastian-Donostia.
